These terms and conditions apply between you, the User of this Website (including any sub-domains, unless expressly excluded by their own terms and conditions), and TryMosaic, the owner and operator of this Website. Please read these terms and conditions carefully, as they affect your legal rights. Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your first use of the Website. If you do not agree to be bound by these terms and conditions, you should stop using the Website immediately.

In these terms and conditions, User or Users means any third party that accesses the Website and is not either (i) employed by TryMosaic and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to TryMosaic and accessing the Website in connection with the provision of such services.

You must be at least 18 years of age to use this Website. By using the Website and agreeing to these terms and conditions, you represent and warrant that you are at least 18 years of age.

Intellectual Property and Acceptable Use

Misuse of the Service (Including Prompt Engineering)

You agree not to engage in any form of prompt engineering or manipulation intended to generate, elicit, or facilitate inappropriate, harmful, misleading, or illegal content within the TryMosaic app. This includes, but is not limited to:

Generating Harmful or Offensive Content: You must not intentionally craft prompts or inputs with the purpose of generating content that is violent, discriminatory, obscene, offensive, abusive, or otherwise harmful to individuals, communities, or society.

Deceptive or Malicious Prompts: You are prohibited from using the app to input prompts designed to deceive, manipulate, or coerce the system into producing results that contravene the app’s ethical guidelines or that may cause harm or confusion to other users.

Exploiting System Vulnerabilities: You must not attempt to exploit any system vulnerabilities, weaknesses, or limitations in the app, including but not limited to manipulating the app’s natural language processing or algorithms in ways that produce harmful, unethical, or unlawful outputs.

Encouraging or Facilitating Misuse: You may not promote or encourage others to engage in any activity that involves prompt engineering for illicit, harmful, or unethical purposes, or assist others in bypassing the app’s safeguards or content restrictions.

Circumventing Safeguards: You agree not to engage in any attempts to bypass, disable, or manipulate the app’s content moderation systems, safeguards, or filtering mechanisms, with the intent to produce or access prohibited content.

Any violations of these terms may result in immediate suspension or termination of your account, permanent loss of access to the app, and potential legal action. TryMosaic reserves the right to monitor, detect, and take action against any misuse of the app, including filtering or blocking inappropriate inputs and content, as well as implementing additional safeguards as necessary.

Registration

You must ensure that the details provided by you on registration or at any time are correct and complete.

You must inform us immediately of any changes to the information that you provide when registering by updating your personal details to ensure we can communicate with you

effectively.

We may suspend or cancel your registration with immediate effect for any reasonable purposes or if you breach these terms and conditions.

You may cancel your registration at any time by informing us in writing to the address at the end of these terms and conditions. If you do so, you must immediately stop using the Website. Cancellation or suspension of your registration does not affect any statutory rights.

Password and Security

When you register on this Website, you will be asked to create a password, which you should keep confidential and not disclose or share with anyone.

You may not transfer any of your rights under these terms and conditions to any other person. We may transfer our rights under these terms and conditions where we reasonably believe your rights will not be affected.

These terms and conditions may be varied by us from time to time. Such revised terms will apply to the Website from the date of publication. Users should check the terms and conditions regularly to ensure familiarity with the then current version.

These terms and conditions, together with the Privacy Policy and GDPR Policy, contain the whole agreement between the parties relating to its subject matter and supersede all prior discussions, arrangements or agreements that might have taken place in relation to the terms and conditions.

The Contracts (Rights of Third Parties) Act 1999 shall not apply to these terms and conditions and no third party will have any right to enforce or rely on any provision of these terms and conditions.

If any court or competent authority finds that any provision of these terms and conditions (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these terms and conditions will not be affected.

Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.

This Agreement shall be governed by and interpreted according to the law of England and Wales and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh courts.

Fees Payment

You agree to pay all fees or charges to your Account in accordance with the fees, charges and billing terms in effect at the time a fee or charge is due and payable. You must provide with a valid credit card (Visa, MasterCard, or any other issuer accepted by us) (“Payment

Provider”) to make any purchases through the Services. Your Payment Provider agreement governs your use of the designated credit card, and you must refer to that agreement and not this Agreement to determine your rights and liabilities. By providing TryMosaic with your credit card number and associated payment information, you agree that TryMosaic may authorize the Payment Provider to immediately charge you for all amounts due and payable with no notice or consent to you. You agree to immediately notify TryMosaic of any change in your billing address or the credit card used for payment hereunder. In the event that your credit card expires or TryMosaic, our affiliates, or our third-party payment processors are unable to process your payment, you may receive notice for you to provide an alternative payment method. TryMosaic reserves the right to cancel the request if: (i) your payment method is declined; or (ii) you have been previously banned or removed from the TryMosaic Properties for any reason. TryMosaic reserves the right at any time to change its prices and billing methods, either immediately upon posting on the TryMosaic Properties or by e-mail delivery to you.

Third Party Payment Processor

TryMosaic may use Stripe, Inc. (“Stripe”) as its third-party service provider for payment services (e.g., card acceptance, merchant settlement, and related services). By using the Services, you agree to be bound by Stripe’s Privacy Policy: https://www.stripe.com/privacy, and hereby consent and authorize TryMosaic and Stripe to share any information and payment instructions you provide with one or more third party service provider(s) to the minimum extent required to complete your transactions. By making reservations on the Services, you also agree to be bound by Stripe’s Seller Terms: https://stripe.com/ssa.

Taxes

Users will be liable for any taxes required to be paid on the Services provided under the Agreement.

Disputes

You must notify us in writing within seven (7) days after receiving your credit card statement, if you dispute any of our charges on that statement or such dispute will be deemed waived.

Subscription

TryMosaic charges a subscription fee (the “Subscription Fee”) for a subscription to the Coaching Services (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either on a monthly or annual basis (depending on the type of subscription plan offered by TryMosaic and that you have selected when purchasing a Subscription) and commence on the date you first start your Subscription.

Once you have purchased a Subscription, your Subscription will continue indefinitely until terminated in accordance with this Agreement and you will be charged TryMosaic’s then-current Subscription Fees at the commencement of each Billing cycle.

Cancellation

You may cancel your Subscription renewal through your Account or by contacting us at: hello@trymosaic.co prior to the end of the then-current Billing Cycle. If you cancel your Subscription, you may use your Subscription until the end of the current Billing Cycle and your Subscription will not be renewed after the then-current Billing Cycle ends.

However, you will not be eligible for a prorated refund of any portion of the Subscription Fee paid for the then-current Billing Cycle.

Subscription Fee Payment

By submitting your payment information, you authorize us to charge you, or your Payment Provider for all Subscription Fees incurred through your Account at the beginning of each Billing Cycle. Should automatic billing fail to occur for any reason, we will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the Billing Cycle as indicated on the invoice. If TryMosaic does not receive payment from you, (a) you agree to pay all amounts due on your Account upon demand and/or (b) you agree that TryMosaic may either terminate or suspend your Subscription and continue to attempt to charge you or your Payment Provider until payment is received (upon receipt of payment, your Account will be activated and for purposes of automatic renewal, your new subscription commitment period will begin as of the day payment was received).

Free Trials

Any free trial or other promotion to the Service must be used within the specified time of the trial. At the end of the trial period, your use of that Service will expire and any further use of the Service is prohibited unless you pay the applicable Subscription Fee. If you are inadvertently charged for a Subscription, please contact TryMosaic to have the charges reversed. A free trial can be deleted at anytime.

General Conduct

In connection with your use of TryMosaic Properties, you shall not:

Make Available any Content that, in TryMosaic’s sole discretion, (i) is unlawful, tortious, defamatory, abusive, profane, vulgar, pornographic, obscene, libelous, or racially, ethnically or otherwise objectionable (including nudity); (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (iv) is violent or threatening, or promotes violence or actions that are threatening to any other person; or (v) promotes illegal or harmful activities;

Harm minors in any way;

Impersonate any person or entity, including, but not limited to, TryMosaic personnel, or falsely state or otherwise misrepresent your affiliation with a person or entity;

Make available any Content that you do not have a right to Make Available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under non-disclosure agreements);

Make Available any Content that infringes the rights of any person or entity, including without limitation, any patent, trademark, trade secret, copyright, privacy, moral, publicity or other

proprietary or contractual rights;

Intentionally or unintentionally violate any applicable local, state, national or international law or regulation, or any order of a court;

Register for more than one Account or register for an Account on behalf of an individual other than yourself;

Stalk or otherwise harass, bully or intimidate any other user of our TryMosaic Properties; or

Advocate, encourage or assist any third party in doing any of the foregoing activities in this section.

Investigations

TryMosaic may, but is not obligated to, monitor or review TryMosaic Properties and Content at any time. Without limiting the foregoing, TryMosaic shall have the right, in its sole discretion, to remove any of Your Content for any reason (or no reason), including if such Content violates the Agreement or any applicable law. Although TryMosaic does not generally monitor user activity occurring in connection with TryMosaic Properties or Content, if TryMosaic becomes aware of any possible violations by you of any provision of the Agreement, TryMosaic reserves the right to investigate such violations, and TryMosaic may, at its sole discretion, immediately terminate your license to use TryMosaic Properties, or change, alter or remove Your Content, in whole or in part, without prior notice to you.
